1. Acceptance of Terms

By downloading, installing, accessing, or using the NineCoach mobile application (the “App”), you agree to be bound by these Terms of Use (“Terms”) and our Privacy Policy. If you do not agree to these Terms, please do not use our App.

2. Description of Service

NineCoach is an AI-powered English language coaching application that provides:

  • Personalized Practice Sessions: Real-time AI feedback on pronunciation, fluency, grammar, and vocabulary
  • Scenario-Based Training: Role-play conversations for real-life situations (job interviews, business meetings, etc.)
  • Progress Tracking: CEFR level assessments and detailed performance analytics
  • Weekly Assessments: Regular evaluations to unlock new content and track improvement
  • Premium Features: Unlimited practice sessions, access to all scenarios, advanced analytics

3. Account Registration and Security

Account Creation

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must be at least 13 years old to create an account
  • One account per person; sharing accounts is prohibited

Account Security

  • You are responsible for all activities under your account
  • Notify us immediately of any unauthorized use of your account
  • We reserve the right to suspend or terminate accounts that violate these Terms

4. Subscription Terms and Billing

Free Features

  • Initial English assessment
  • Limited daily practice sessions
  • Basic progress tracking

Premium Subscription

  • Monthly Subscription: $7.99 per month
  • Annual Subscription: $39.99 per year
  • Unlimited practice sessions
  • Access to all scenario trainings
  • Advanced analytics and insights
  • Priority customer support

Billing and Payments

  • Subscriptions are billed through your Apple App Store or Google Play Store account
  • Payment will be charged to your account at confirmation of purchase
  • Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
  • Account will be charged for renewal within 24 hours prior to the end of the current period
  • You can manage and cancel subscriptions through your App Store/Play Store account settings
  • No refunds for unused portions of subscription periods

Free Trials

  • Free trial periods, if offered, will be forfeited when you purchase a subscription
  • You must cancel before the trial period ends to avoid charges

5. User Conduct and Responsibilities

Acceptable Use

You agree to use NineCoach only for:

  • Personal English language learning and practice
  • Legitimate educational purposes
  • Content appropriate for language learning

Prohibited Activities

You may not:

  • Use the App for any unlawful purpose or activity
  • Share, distribute, or resell your account access
  • Attempt to reverse engineer, decompile, or hack the App
  • Upload or transmit malicious code, viruses, or harmful content
  • Use the App in ways that could damage, disable, or impair our services
  • Violate any applicable laws or regulations
  • Harass, abuse, or harm other users or our staff

6. Content and Intellectual Property

Your Content

  • You retain ownership of your voice recordings and personal data
  • By using the App, you grant us permission to process your voice recordings for AI analysis and feedback
  • You can delete your recordings and account data at any time through the App settings

Our Content

  • All App content, including but not limited to text, graphics, logos, audio clips, digital downloads, and software, is owned by NineCoach or its licensors
  • App content is protected by copyright, trademark, and other intellectual property laws
  • You may not copy, reproduce, distribute, or create derivative works from our content without written permission

User Feedback

  • Any feedback, suggestions, or ideas you provide may be used by NineCoach to improve the service
  • You waive any rights to compensation for such feedback

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy.

Voice Recording Privacy

  • Voice recordings are processed by AI for immediate feedback and coaching
  • Raw audio files are not permanently stored on our servers
  • You can control recording permissions through your device settings
  • Transcribed text may be retained for progress tracking purposes

8. AI-Generated Content and Disclaimers

AI Feedback Accuracy

  • NineCoach uses advanced AI technology to provide language coaching
  • While our AI strives for accuracy, feedback may not always be perfect
  • AI suggestions should supplement, not replace, human language instruction
  • We do not guarantee specific learning outcomes or proficiency improvements

Educational Purpose

  • NineCoach is designed for educational and practice purposes
  • It is not a substitute for formal language education or certification
  • Professional language certification should be obtained through accredited institutions

9. Service Availability and Modifications

Service Availability

  • We strive to maintain 24/7 service availability but do not guarantee uninterrupted access
  • Maintenance, updates, or technical issues may temporarily affect service
  • We are not liable for service interruptions or technical problems

Service Modifications

  • We may modify, update, or discontinue features of the App at any time
  • Significant changes will be communicated through in-app notifications or email
  • Continued use of the App after changes constitutes acceptance of modifications

10. Third-Party Services

NineCoach integrates with third-party services including:

  • OpenAI: For AI-powered speech recognition and feedback
  • Supabase: For backend services and data storage
  • RevenueCat & SuperWall: For subscription management
  • Apple/Google: For payments and app distribution

These services have their own terms of use and privacy policies, which apply to your use of their services through our App.

11. Limitation of Liability

Disclaimers

  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR UNINTERRUPTED

Limitation of Damages

  • IN NO EVENT SHALL NINECOACH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM
  • SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU

12. Indemnification

You agree to indemnify, defend, and hold harmless NineCoach, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of applicable laws or regulations

13. Termination

Termination by You

  • You may terminate your account at any time through the App settings
  • Subscription cancellation must be done through your App Store/Play Store account
  • Termination does not entitle you to refunds for unused subscription periods

Termination by Us

  • We may suspend or terminate your account for violation of these Terms
  • We may discontinue the service with reasonable notice
  • Upon termination, your right to use the App ceases immediately

Effect of Termination

  • Upon termination, we may delete your account data in accordance with our Privacy Policy
  • Provisions that should survive termination will remain in effect

14. Dispute Resolution

Governing Law

These Terms are governed by the laws of Bulgaria, without regard to conflict of law principles.

Dispute Resolution Process

  1. Direct Communication: Contact us first at support@ninecoach.ai
  2. Mediation: If informal resolution fails, disputes will be resolved through binding mediation
  3. Arbitration: If mediation fails, disputes will be resolved through binding arbitration
  4. Class Action Waiver: You waive the right to participate in class action lawsuits

Exceptions

The following may be resolved in court:

  • Intellectual property disputes
  • Small claims court matters
  • Injunctive relief requests

15. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NineCoach.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

Assignment

We may assign these Terms or our rights hereunder without your consent. You may not assign your rights under these Terms without our written consent.

Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

Updates to Terms

We may update these Terms periodically. We will notify you of significant changes through:

  • In-app notifications
  • Email notifications
  • App Store update notes

Continued use of the App after changes constitutes acceptance of the updated Terms.
